Terms of Service

These Terms of Service ("Terms") govern your use of EXO, an AI-powered marketing operations platform. By creating an account or using EXO, you agree to these Terms. If you do not agree, do not use EXO.
1. Definitions
- "EXO", "we", "us" — Real Return Marketing Ltd. (registered in England & Wales), operating the EXO platform until EXO Operations Ltd. is incorporated, after which all rights and obligations transfer.
- "You", "Customer" — the organisation or individual subscribing to or using EXO.
- "Tenant" — your isolated workspace within EXO, accessed by users you invite.
- "Customer Data" — all data you upload, input, or connect into EXO, including data pulled from third-party integrations on your authorisation.
- "Service" — the EXO platform and any related services we provide.
2. Account & access
You must be at least 18 years old and authorised to bind your organisation. You are responsible for keeping account credentials confidential and for all activity on your tenant. Notify us immediately of any unauthorised access.
3. Acceptable use
You agree not to:
- Use EXO to violate any law or regulation
- Attempt to reverse-engineer EXO, extract its underlying models, or scrape its agent prompts
- Use EXO to send unsolicited communications or process data you do not have lawful basis to process
- Probe, scan, or test the vulnerability of EXO without prior written consent
- Use EXO to compete with EXO (for example, training a competing AI agent system on its outputs)
- Resell or sublicense EXO without a written agreement with us
4. Subscription, fees & billing
EXO is offered on a subscription basis. Pricing tiers and what is included in each tier are listed on the marketing site at the time you subscribe. Fees are billed in advance for the subscription period selected (monthly or annual). All fees are exclusive of VAT and any other applicable taxes, which you are responsible for paying.
We may change pricing for renewal periods with 30 days' written notice. Failure to pay may result in suspension of your tenant.
5. Customer Data — ownership & use
You own your Customer Data. We do not claim ownership over briefs, client records, integration data, or anything else you bring into EXO. We process Customer Data only as needed to deliver the Service to you, to compute fully- anonymised aggregate benchmarks (where individual tenants are never identifiable), and to comply with law.
We do not sell Customer Data. We do not use Customer Data to train third-party AI models.
6. Third-party integrations
EXO connects to third-party platforms (Meta, Google, Shopify, Klaviyo, etc.) on your authorisation. Your use of those platforms remains governed by their own terms. We are not responsible for actions taken by, or data lost through, those platforms. If a third-party platform changes its API, scope policies, or availability, our ability to deliver related features may change.
7. AI-generated outputs
EXO produces AI-generated outputs (analyses, recommendations, drafts, briefs). These are recommendations, not guarantees. You are responsible for reviewing AI-generated outputs before acting on them, sharing them with clients, or otherwise relying on them. We do not warrant the accuracy, completeness, or fitness for purpose of AI-generated outputs.
8. Intellectual property
EXO, including its software, agent prompts, design, branding, and documentation, is our intellectual property. Your subscription grants you a non-exclusive, non-transferable right to use the Service during your subscription term. Nothing in these Terms transfers ownership of EXO to you.
9. Confidentiality
Each party agrees to keep the other party's confidential information confidential and to use it only for the purposes of performing under these Terms. This obligation survives termination.
10. Service availability
We aim for high availability but do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where reasonably possible. Service-level commitments, where offered, are stated separately in your subscription plan.
11. Limitation of liability
To the maximum extent permitted by law, our aggregate liability arising out of or related to these Terms or your use of EXO shall not exceed the fees paid by you in the twelve (12) months immediately preceding the event giving rise to the claim.
We shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenues, data, or business, even if advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation).
12. Indemnification
You agree to indemnify and hold us harmless against any claims arising from (a) your breach of these Terms, (b) your use of EXO in a manner that violates law or a third-party's rights, or (c) Customer Data you uploaded that infringes a third-party's rights or violates law.
13. Term & termination
These Terms remain in effect while your subscription is active. Either party may terminate for material breach with 30 days' written notice if the breach is not cured. We may suspend or terminate immediately if you (a) fail to pay fees, (b) breach the acceptable-use clause, or (c) create a security or legal risk to us or other customers.
On termination, we will delete Customer Data within 30 days unless legally required to retain it. You may request export of Customer Data prior to termination.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be communicated by email to account admins at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.
15. Governing law & dispute resolution
These Terms are governed by the laws of England & Wales. The courts of England & Wales have exclusive jurisdiction over any dispute arising under these Terms, subject to any non-waivable rights you have under your local law.
